Odgovornost prodajalca poslovnega deleža za napake družbe : doktorska disertacija

Doktorska disertacija preučuje odgovornost prodajalca poslovnega deleža za napake v lastnostih družbe ter jo sistematično postavlja v okvir veljavnih predpisov. Temeljno raziskovalno hipotezo predstavlja trditev, da je treba odgovornost prodajalca poslovnega deleža za napake v lastnostih družbe, v kateri prodaja poslovni delež, presojati v skladu z zakonskimi določbami, ki urejajo jamčevanje prodajalca za stvarne napake, kar pomembno vpliva na obveznosti pogodbenih strank pogodbe o prodaji poslovnega deleža pri opravi skrbnega pregleda družbe, ki ga je treba razumeti kot običajni pregled stvari v smislu določb o odgovornosti prodajalca za stvarne napake, in na vsebino pogodbenih določil o odgovornosti prodajalca poslovnega deleža za lastnosti družbe, pri oblikovanju katerih je treba upoštevati zakonsko določeno odgovornost prodajalca za stvarne napake. Raziskovalno hipotezo doktorska disertacija preuči skozi identifikacijo možnih pravnih podlag za presojo odgovornosti prodajalca poslovnega deleža in argumentov za presojo le-te v okviru zakonskega sistema jamčevanja prodajalca za stvarne napake. V zvezi s tem doktorska disertacija poskuša potrditi podporno tezo, da je pri presoji odgovornosti prodajalca poslovnega deleža za napake v lastnostih družbe, v kateri prodaja poslovni delež, treba upoštevati zakonski režim jamčevanja za stvarne napake. Nadalje doktorska disertacija preuči tudi pravno naravo skrbnega pregleda družbe in nekaterih standardnih pogodbenih določil, s katerimi se pogodbeno ureja odgovornost prodajalca poslovnega deleža za napake v lastnostih družbe, ter vpliv odgovornosti prodajalca poslovnega deleža v skladu z zakonskim sistemom jamčevanja za stvarne napake nanje in na uveljavljanje zahtevkov iz tega naslova. V okviru tega doktorska disertacija poskuša potrditi podporni tezi, da skrbni pregled družbe predstavlja običajni pregled stvari v smislu določb o odgovornosti prodajalca za stvarne napake in da je treba pogodbena določila pogodb o prodaji poslovnih deležev, s katerimi se ureja odgovornost prodajalca poslovnega deleža za napake v lastnostih družbe, presojati v skladu z zakonskimi pravili o odgovornosti prodajalca za stvarne napake.

Izvleček

The doctoral dissertation examines the business share seller’s liability for defects in the company’s properties and systematically places it within the framework of applicable regulations. The core research hypothesis is that the business share seller’s liability for defects in the properties of the company in which it sells a business share shall be assessed in accordance with the legal provisions governing the seller’s guarantee for material defects, which significantly affects the obligations of the parties to the share purchase agreement during due diligence of the company, which shall be understood as a regular inspection of thing within the provisions on the seller’s liability for material defects, and on the content of the contractual provisions on the business share seller’s liability for the properties of the company, in the formulation of which the seller’s statutory liability for material defects shall be considered. The doctoral dissertation examines the research hypothesis through identification of potential legal grounds for assessing the business share seller’s liability and arguments for its assessment within the legal system of seller’s guarantee for material defects. In this regard, the doctoral dissertation attempts to confirm the supporting thesis that when assessing the business share seller’s liability for defects in the properties of the company in which the business share is sold, the statutory regime of guarantee for material defects shall be considered. Furthermore, the doctoral dissertation examines the legal nature of due diligence of the company and certain standard contractual provisions that contractually regulate the business share seller’s liability for defects in the company’s properties, as well as the impact of the business share seller’s liability in accordance with the legal system of guarantee for material defects on them and on enforcement of thereto related claims. Within this, the doctoral dissertation tries to confirm the supporting thesis that due diligence of the company represents a normal inspection of things in the sense of the provisions on the seller’s liability for material defects, and that the contractual provisions of the share purchase agreements, which regulate the business share seller’s liability for defects in the company’s properties, shall be considered in accordance with the statutory provisions on the seller’s liability for material defects.
