Abstract
V pričujočem diplomskem delu je opisana problematika določanja prejemkov poslovodnih oseb v družbah v državni in občinski lasti, ki temelji na Zakonu o prejemkih poslovodnih oseb v gospodarskih družbah v večinski lasti Republike Slovenije in samoupravnih lokalnih skupnostih (ZPPOGD, Uradni list RS, št. 21/10, 8/11-ORZPPOGD4 in 23/14- ZDIJZ-C), sprejetem v letu 2010 in znanem pod imenom »Lahovnikov zakon«. Namen diplomskega dela je predstaviti razdrobljeno pravno ureditev, ki jo poslovodni organi in organi nadzora v javnih gospodarskih družbah različno tolmačijo in uporabljajo. Prav tako je namen dela tudi prikazati izzive odločevalcem in predlagati rešitve za natančnejšo ureditev obravnavanega področja. Diplomsko delo sloni na sistematičnem pregledu zakonodaje, strokovne literature, e-virov, pregledu poročil posameznih ustanov in podjetij. Obenem so bila oblikovana raziskovalna vprašanja, na katera so odgovarjali predstavniki pristojnih ustanov. Ugotovljeno je bilo, da omenjeno področje sloni na pomanjkljivi pravni podlagi, ki ureja postopek imenovanja strokovnih in kompetentnih poslovodnih organov ter organov nadzora in urejanja višine prejemkov. To potrjujejo tudi opisi nepravilnosti, ki izhajajo iz poročil Računskega sodišča Republike Slovenije in so navedeni v tem diplomskem delu. Področje proučevanja potrebuje prevetritev zakonodaje in njeno uskladitev z ugotovitvami Računskega sodišča Republike Slovenije. Določila zakonodaje bi morala upoštevati vsa podjetja v državni ali občinski lasti, kar bi rezultiralo v pravičnem dodeljevanju dodatnih izplačil in ugodnosti pri prejemkih. Poleg tega bi bilo potrebno pri postopku imenovanja članov organov vodenja upoštevati njihovo strokovnost, ne pa politične pripadnosti.

Title:Analysis of the remuneration system of managers in state and municipal enterprises
Abstract:
The current thesis describes the problem of determining the remuneration of managers in companies with a majority ownership of the Republic of Slovenia and self-governing local communities, which is based on the law on the remuneration adopted in 2010 also known under the name: "Lahovnik's Law". The aim of the thesis is to present the fragmented legal regulation, which is interpreted and used differently by management and supervisory bodies in public companies. The purpose of this assignment is to show the challenges to decision-makers and to propose solutions for a more precise regulation of the area under consideration. For the preparation of the thesis, a review of legislation, professional literature, online sources with information on business operations, review of reports of individual institutions and companies was done in order to prepare the thesis. At the same time, research questions were formulated, to which the representatives of the competent institutions responded. Important findings are the lack of legal basis for the process of appointing professional and competent management bodies and supervisory bodies and the regulation of the amount of their compensation. Furthermore, the descriptions of irregularities arising from the reports of the Audit Court of the Republic of Slovenia are confirming the findings stated in the study. The study needs an examination of the legislation and its harmonization with the findings of the Audit Court of the Republic of Slovenia. These provisions would be taken into account by all public companies, which would result in a fair allocation of additional payments and other benefits. Additionally, it would be required to consider members' expertise rather than their political affiliation when choosing them for management bodies.
