According to the Statistical Office of the Republic of Slovenia LLC (d.o.o.) and sole proprietor (s.p.) are the most common types of incorporation in Slovenia. Both types are forms of implementation economic activities and entrepreneurship. LLC is a company, private legal entities, sole proprietor however, it is a self-employed person. Deciding which type of incorporation is more appropriate for a particular economic activity, several weighing factors should be considered. The differences are in the establishment, bookkeeping, liability for obligations, position in the social security system and winding up. The diploma thesis therefore analyzes and compares the valid legal arrangement of single memeber LLC and sole proprietor. Basis on these findings can assist to future entrepreneurs in choosing the appropriate type of incorporation. This diploma thesis is made to help individuals who are starting their entrepreneurial journey and are finding themselves in a dilemma which types of incorporation they should choose.
