Upravljanje podjetij v državni lasti : slovenska reforma v kontekstu vstopa v OECD

Abstract
Z vstopom v OECD je Slovenija izvedla reformo upravljanja podjetij v delni ali popolni državni lasti. Da bi ocenili uspešnost slovenske reforme, smo pregledali, kako so se druge članice OECD lotile reforme lastniške funkcije. Iz literature je razvidno, da med članicami obstajajo trije različni modeli organizacije lastniške funkcije: decentraliziran, dualni in centraliziran model. Analiza modelov pokaže, da se vsi približujejo istemu cilju povečanja transparentnosti in odgovornosti države pri upravljanju državne lastnine s pomočjo oblikovanja vladnih lastniških politik. Slovenska reforma je z ustanovitvijo Agencije za upravljanje zgrešila cilj, saj je dala prednost formi pred vsebino.

Abstract:
During its accession to the OECD, Slovenia conducted a reform of the corporate governance of state-owned enterprises (SOEs). To assess the relevance of the Slovenian reform, we reviewed the reforms undertaken in other OECD countries. The literature shows there are three models of organising the ownership function: decentralised, dual and centralised. The analysis reveals they all tend towards the same objectives of increasing the government's transparency and accountability in the corporate governance of SOEs by means of the development of government ownership policy. The Slovenian reform appears to be misguided because it started with the establishment of a new Agency for Corporate Governance which has prioritised form over substance.
