The master's thesis presents the factoring contract, especially their nature of modern legally unregulated economic contract. Factoring is economic instrument, that in modern business world provides liquidity to business subjects. It's about external short-term financing with help of assignment of receivables. Factoring has multiple funcitons like financing, provision of services and del credere guarantee. It appears in various forms or modalities, each of which represents a form adapted to specific needs. The factoring contract is legally not regulated in Slovenia, but there are international acts on the use of factoring and self-regulation. Legislative disorder represents less legal certainty and consequently attractiveness for use. Some countries have regulated factoring by law, and there is a danger of interference that would be to severe with the institute of factoring, which may hinder it's use. A factoring contract is a complex contract consisting of elements of various contracts, both nominal and inominal. Typically, it is formed on an ongoing basis, according to the wishes and needs of the contracting parties.
