The master's thesis »Legislative regulation of real estate funds in the Republic of Slovenia« focuses on the regulation of real estate funds in the Republic of Slovenia, their permissible forms and in the light of all relevant laws, showing their options for establishment and operation.
In order to understand the establishment and operation of real estate funds, it is first of all crucial to define the key concepts that appear in this field. The first part therefore deals with the concept of real estate, the distinction between professional and non-professional investor and methods of investing in real estate, among others in real estate funds. The second part focuses on real estate funds that are permissible and fully operational in the Republic of Slovenia – a real estate mutual fund, a real estate alternative investment fund, a real estate special investment fund, a real estate company, their regulation and their operation in practice.
The key source of the master's thesis in dealing with different forms of real estate funds is the Slovenian legislation, above all three relevant laws: Zakon o investicijskih skladih in družbah za upravljanje (ZISDU-3), Zakon o oblikah alternativnih investicijskih skladov (ZOAIS), and Zakon o upravljavcih alternativnih investicijskih skladov (ZUAIS).
In addition to individuals who invest directly in real estate and real estate funds that invest in real estate projects, there are also pension funds with investments in real estate, especially REIT funds that are relevant. Due to the strong connection between real estate funds and pension funds and the significant legislative limitation in this area, the latter are also presented in the master's thesis.
Since there is still room for improvement, the third part of the master's thesis is dedicated to potential new possible forms that could soon develop in the Republic of Slovenia in the field of investments in real estate funds: real estate investment fund (REIT fund) and real estate operating company (REOC). The last part of the master's thesis deals with the primary legal regulation in the field of real estate funds in some countries, namely the United States of America, the Netherlands, Germany, and the United Kingdom.
